My job as a business lawyer is to help my clients avoid liability and resolve disputes with customers and co-owners, usually without trial. My clients have been involved in a wide variety of commercial enterprise; including, manufacturing, fabrication and distribution (steel, iron, lubricants, fasteners, plastics, wood products, concrete, rubber, furniture, leather, automotive lifts, garden and landscape products, water, sports drinks), construction (homes, signs, painting, stone and roofing), real estate development, office management, private lending, brokerage of real estate and securities, software, accounting, automotive service, sports promotion, insurance, assisted living facilities, employment services, trucking, health care and treatment services. It is a pleasure to learn about different client’s businesses and their needs.
I consult on the benefits of all forms of organization for business ventures and prepare documentation for the formation of Limited Liability Companies, Corporations, General and Limited Partnerships, Joint Ventures, Trusts and Co-Ownerships.
I also work with non-profit organizations, such as churches and art galleries, assisting in formation of their organization, fund raising, and obtaining recognition of their exempt status under state and federal law.
The sale of a business requires attention to detail; I devote the time necessary to complete the job. My real estate work has complimented this process giving me more experience in negotiating and financing alternatives.
